Announcement in Respect of Obtaining the Approval from CSRC to the Application of the Private Placement

On 15 August 2011, Huaxin Cement Co., Ltd. (hereinafter referred to as “the Company”) received the Official Approval in Respect of the Private Placement of Huaxin Cement Co., Ltd. (Zheng Jian Xu Ke [2011] No. 1299) from China Securities Regulatory Commission. It approved the Company to issue not more than 190,730,000 new shares. This official approval shall be valid for six months from the approved issuing date. Based on the requirements of the aforesaid approval document and authorization of the Shareholders’ General Meeting, Board of Directors of the Company shall transact the relevant matters regarding the private placement as soon as possible.
